Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Memorr for your personal or internal business purposes.

2.2 License Types

• Lifetime License: One-time payment for perpetual use
• Device Limit: Valid for up to 2 devices
• Reassignment: You may reassign devices at any time
• Updates: Free updates for one year from purchase date

2.3 License Restrictions

You may not:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, sell, or sublicense the Software
• Share your license key with others
• Use the Software for any illegal purpose

3. Bring Your Own API Keys (BYOK)

3.1 Your Responsibility

Memorr requires you to provide your own API keys from third-party AI providers (OpenAI, Anthropic, Google, etc.). You are solely responsible for:

• Obtaining and maintaining valid API keys
• All costs associated with API usage
• Compliance with the terms of service of each AI provider
• Security and confidentiality of your API keys

3.2 No Liability

We are not responsible for any charges, limitations, or issues arising from your use of third-party API services. Any disputes regarding API usage should be directed to the respective AI provider.

4. Data and Privacy

4.1 Local Storage

All your conversations, memories, and data are stored locally on your device. We do not have access to, store, or process your conversation content on our servers.

4.2 Your Content

You retain all rights to your content. You are responsible for maintaining backups of your data. We are not liable for any loss of data.

5. Payment and Refunds

5.1 Pricing

All prices are listed in USD and are subject to change. Current pricing is displayed on our website.

5.2 Refund Policy

We offer a 14-day money-back guarantee. If you are not satisfied with Memorr, you may request a full refund within 14 days of purchase by contacting our support team.

5.3 No Recurring Charges

Memorr is a one-time purchase. There are no subscription fees or recurring charges.

6. Updates and Support

6.1 Software Updates

Your license includes free updates for one year from the date of purchase. After one year, you may continue using your current version indefinitely, but new updates may require an upgrade purchase.

6.2 Support

We provide email support for all licensed users. Support is provided on a best-effort basis and does not guarantee specific response times.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• Results obtained from the Software will be accurate or reliable
• Any errors in the Software will be corrected

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEMORR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid for the Software.

9. Third-Party Services

Memorr integrates with third-party AI services (OpenAI, Anthropic, Google, Perplexity, etc.). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, content, or practices of these third-party services.

10. Termination

We may terminate or suspend your license immediately, without prior notice, if you breach these Terms. Upon termination, you must cease all use of the Software and destroy all copies.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Software. Your continued use of the Software after such modifications constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Memorr is registered, without regard to its conflict of law provisions.
